Due Diligence, "Deal Fever" and Integration Challenges
U.S. merger and acquisition activity continues to increase and this year promises to be another active year. The credit markets remain favorable for M&A, with historically low interest rates and an improving lending environment. Corporate America's balance sheets are flush with cash. In addition, today's higher stock market valuations should encourage the private equity community to prioritize liquidity and potential sellers to take action in the months ahead. Under these circumstances it is likely that a growing number of public company boards will be involved in M&A transactions as 2015 unfolds. The directors who serve on these boards will find themselves immersed in a sometimes frenzied world of due diligence, "deal fever," integration challenges and legal and fiduciary complexities. At the NACD New England Chapter's June 2015 Breakfast Event, a panel of experts will tackle a lightning round of provocative questions, sharing practical insights and ideas for board-level M&A leadership.

Tom Bogan is a seasoned enterprise software executive and BOD member with deep SaaS expertise and a passion for helping companies achieve their potential. He joined Adaptive Insights as CEO in January 2015. Prior to Adaptive, he was an investor and BOD member of several highly successful software companies including Citrix Systems (where Tom is Chairman), PTC and SaaS companies Acquia, Apptio, and Rally Software (RALY).
Previously Tom was a Partner at Greylock Partners, focusing on enterprise software investments. He was also President and COO at Rational Software (RATL) until its acquisition by IBM. Before Rational, Tom served as CEO at Avatar Technologies and Pacific Data. He began his career as a financial officer in public (SQA and SCA Services) and private companies (Orange Nassau, Inc.), as well as positions in public accouning. Tom graduated with a bachelor of science degree in Accouning from Stonehill College in Easton, MA where he also serves as a Trustee.
Ted Lapres was President and CEO of Nypro Inc. from 2006-2013 at which time, he led the sale of Nypro Inc. to Jabil Circuit, a contract manufacturer based in St. Petersburg, FL. He now currently serves as the Chairman of the Nypro- Jabil Advisory Board, a division that serves the Healthcare and Consumer Packaging Markets. Ted joined Nypro as Corporate Controller in 1988 and later served as Chief Financial Officer before becoming CEO. During his 26 years at Nypro, Ted helped the Company to grow from around $80 million to $1.25 billion in revenues and expand to more than 40 operations in 15 countries, as well as transition to being one of the largest 100% owned ESOPs in the country. He played a role in helping the Company complete over 20 acquisitions or joint venture arrangements during this period. He started his career in public accounting with Coopers & Lybrand in Boston and London for seven years. Ted is a graduate of Dartmouth College and holds an MBA from Cornell’s’ Johnson Graduate School of Management.
Michelle Stacy is a senior leader with the consistent ability to run and scale businesses. She has driven strong growth at Gillette, P&G and Keurig by leveraging the combination of new product innovation, acquisition, e-commerce/social media, brand building, and overall excellence in marketing and sales execution. Michelle is currently on the Board of Directors of iRobot Corp, Tervis Tumbler Company and Young Innovations Inc. She is also a Director Advisor to The Cambridge Group (an AC Nielson Company), the Expert in Resident at the Harvard Innovation Lab, and is a professional speaker on leadership, innovation and Women’s Leadership.
In her previous position, Michelle was President of Keurig, Inc., a $2 billion division of Keurig Green Mountain [NASDAQ: GMCR]. During her five-year tenure, Keurig's delivered a CAGR of 61% in net sales and 74% in operating income, propelling total GMCR sales from $493 million in revenue in 2008 to $4.3 billion revenue for FY 2013. Prior to joining Keurig, Michelle had a successful 25-year career with Gillette including the Procter & Gamble acquisition of Gillette in 2005. She received her Masters in Management from J. L. Kellogg Graduate School of Management at Northwestern University and her B.S. from Dartmouth College.

Appointed by Governor Deval Patrick to the Board of the Massachusetts Tech Collaborative. Appointed by Mayor Thomas Menino as founding CEO of openairboston.net. Co-founder and vice chair of the Winchester Community Service Foundation. Chair of the Commonwealth Institute. Reeve was chosen as the 2000 Entrepreneur of the Year in Software and Technology by Ernst & Young, 2002 CEO of the Year by the Massachusetts Telecom Council, and has received numerous other leadership recognitions and awards. Reeve earned her MBA degree, with distinction, from the Harvard Business School, and received her undergraduate degree, with honors, from the University of Georgia Honors Program. She has four children, coached soccer for over 20 years and has been active in her community soccer clubs and the Massachusetts Youth Soccer Association. She chairs the Church Council of the Crawford Memorial United Methodist Church in Winchester.
