Overview

 

Executive compensation is the topic that never gets stale – every year new issues arise, new aspects of existing laws come to the fore, and old issues re-surface.  2016 is no different. Join our panel of Compensation Committee Chairs as we discuss some of the key factors that are influencing executive compensation while we look back on 2016 and forward to 2017, including:

  • Clawbacks (in light of BankAmerica and others)
  • CEO pay ratios – coming in 2017
  • The impact of activist investors on compensation structure
  • Is pay for performance working?

And other issues that you need to address for your companies.

Panelists

Elaine EisenmanDr. Elaine Eisenman is the Dean of Babson Executive Education, and sits on the Boards of DSW, Inc. and Miravan.  Dr. Eisenman also is responsible for the management of the Babson Executive Conference Center and previously served as the Chairperson of the Compensation Committee of Harvard Vanguard Medical Associates. Prior to that, Dr. Eisenman served as Senior Vice President, Human Resources and Administration of The Children’s Place Retail Stores, Inc. since September 2003. Dr.  Eisenman has also held senior executive positions at American Express, Enhance Financial Services Co. and private companies such as PDI International, a global consulting firm.

She is a founding member and advisory board member of the Women Corporate Directors /KPMG Foundation.  Most recently, she served as a commissioner for the report, Seeing Far and Wide: Moving to a Visionary Board, cosponsored by KPMG and Directors and Boards Magazine. For several years, she was a faculty member for NACD’s Board Advisory Services, consulting to a wide variety of Public Boards.

Dr. Eisenman earned a PhD in Industrial/Organizational Psychology from New York University, and an MS from Columbia University.

Dr. John PoduskaDr. John William Poduska currently serves as a director of EXA Corporation, where he serves as chairman of the compensation committee and a member of the nominating and governance committee and Rewalk, where he serves as chairman of the compensation committee.  He also serves as a director on the boards of a number of privately-held companies. Dr. Poduska also served as a director of Novell, Inc., Anadarko Petroleum Corporation and Safeguard Scientifics, Inc.

Dr. Poduska was the Chairman of Advanced Visual Systems Inc., President and Chief Executive Officer of Stardent Computer Inc. and Chairman and Chief Executive Officer of Stellar Computer Inc., which  he founded which is the predecessor of Stardent Computer Inc. Prior to founding Stellar Computer, Inc., Dr. Poduska founded Apollo Computer Inc. and Prime Computer, Inc.

Dr. Poduska holds a Sc.D. from MIT and an Honorary Doctorate of Humane Letters from Lowell University.

Dirk KuyperDirk M. Kuyper serves as a Director of ConMed.  He is the Owner and CEO of Precision Machinists Company, Inc. Prior to this, Mr. Kuyper served as President and CEO of Illuminoss Medical, Inc., and President & CEO, and President of Global Commercial Operations, and as a member of the board of directors, of Alphatec Spine, Inc. Prior to his work for Alphatec, Mr. Kuyper  served in several executive capacities including as President and as Executive Vice President and Chief Operating Officer for Aesculap, Inc.’s North American operations. In addition, he serves as an advisor to PorOsteon, Inc., a medical device manufacturer.

Mr. Kuyper has a Bachelor’s of Science degree from the University of Miami.

Moderator

Ted BuyniskiTed Buyniski is a Partner in the Boston office of Radford, an Aon Hewitt company.  He serves clients across the US and globally.  He specializes in incentive and equity compensation and corporate governance issues for technology and life science companies.  He has more than 30 years of tax, legal and human resources experience, as a tax attorney and consultant.  He also serves as a director of a private software company.

Ted is a member of the Massachusetts Bar and a Certified Employee Benefits Specialist.  He received a JD from Boston University School of Law and a BSFS from the Edmund A. Walsh School of Foreign Service at Georgetown University.
