Overview

 

Life as a director feels more like trench warfare and less like corporate governance with each passing year. With continued growing shareholder activism and a host of new requirements to contend with, 2017 will be no exception. At the NACD New England Chapter's January 2017 Breakfast Event, four panelists widely recognized for their expertise provided the perspective of the shareholder, the law, the accounting profession and overall corporate governance. The mission: to discuss what directors need to know in preparation for the year-end / proxy season.

About our Panel:

Pamela B. Greene, Member, Mintz Levin

Pamela GreenePam provides executive compensation and securities law advice in public offerings and merger and acquisition transactions. She regularly counsels Mintz Levin’s public company clients with respect to securities compliance under both the Securities Act of 1933 and the Securities Exchange Act of 1934; executive compensation-related issues; and corporate governance matters, including compliance with stock exchange requirements, the Sarbanes-Oxley Act of 2002, and the Dodd-Frank Act of 2010. In addition, she represents both private corporations and investors in financing transactions, executive compensation matters, and general corporate law matters.   Pam works with individuals, boards, and compensation committees to develop and design appropriate equity and executive compensation programs, and to resolve legal issues confronting employers when implementing and revising such programs.  Before joining Mintz Levin, Pam was an associate in the business practice group of another premier Boston-based law firm. She has advised venture capital fund clients and participated in the organization of venture capital funds. Pam has also handled corporate and securities law matters for a range of businesses, including entrepreneurial companies and private equity investors. She represented both corporations and investors in private placements, public offerings, mergers and acquisitions, and general corporate law matters.  Before attending law school, Pam worked as a corporate service representative for the Boston Trade Bank from its inception as a start-up venture. In that capacity, she handled cash management products and worked with clients to maximize short-term corporate funds.

Maureen Wolff, CEO, Sharon Merrill

Maureen WolffMaureen T. Wolff is a national thought leader in investor relations and corporate communications, Maureen leads implementation of the firm’s strategic vision and provides high-level strategic counsel to its clients. She is a past chairman and board member of the National Investor Relations Institute (NIRI) and a current member of NIRI’s Senior IR Roundtable steering committee. She also is a past president and honorary director of NIRI’s Boston Chapter.

Maureen is a trusted advisor to CEOs, CFOs and boards of directors on critical communications issues related to corporate governance, shareholder activism and proxy contests, and Regulation Fair Disclosure. She is a frequent speaker on investor relations issues and has delivered speeches and participated on investor relations panel discussions at conferences sponsored by the New York Stock Exchange, the National Association of Corporate Directors, NIRI, the Publicity Club of New England, Business Wire and other professional development organizations. She has lectured at universities in the Boston area and has appeared on CNBC, and her comments have been featured in national newspapers and magazines. In addition, Maureen has received awards from the Public Relations Society of America, the Publicity Club of New England and Women’s Business magazine.  Prior to joining Sharon Merrill Associates in 1985, Maureen held positions in the investor relations and corporate communications departments at Lotus Development Corporation. She received a B.A. degree in Communications from Montclair State University. Her specialized training includes completion of prescribed studies in “Financial and IR” at the Simmons College Graduate Program in Communications.

Bryan McCorry, Partner - Audit - Technology and Life Sciences, KPMG

Bryan McCorryBryan is currently an audit partner in the KPMG Boston office.  During his career, Bryan has performed and managed financial statement audits for numerous multinational publicly-traded clients across a wide variety of industries.

Bryan’s experience ranges from SEC filings, carve-out financial statements, and complex tax restructurings to due diligence services. He has a thorough understanding of SEC rules and regulations and has been involved in numerous public and private debt and equity offerings.  Bryan has traveled to several foreign countries in connection with his professional responsibilities, including the United Kingdom, Germany, the Netherlands, Belgium, Switzerland, China, Hong Kong, Korea, Singapore, India and Mexico.

Bryan spent three years on rotation to KPMG’s Department of Professional Practice (“DPP”) in New York City from July 2008 through June 2011.  While at DPP, Bryan’s principal responsibilities included researching technical accounting and SEC reporting inquiries received from engagement teams throughout the globe and developing firm auditing and accounting guidance and publications.  

In addition to his extensive experience with publicly-traded companies, Bryan also serves as the lead audit partner on several venture capital-backed clients in the Boston area.  Due to his deep industry knowledge and connections, he has been able to provide them with access to a broad network of professionals in the start-up eco-system, while at the same time keeping abreast of the latest trends and issues facing emerging-growth organizations.

Dan Konigsburg, Managing Director, Deloitte and Touche Tohmatsu Limited

Dan KonigsburgDan Konigsburg is managing director of corporate governance and public policy for Deloitte Touche Tohmatsu Limited, leads Deloitte’s Global Center for Corporate Governance, and is based in New York. The Global Center promotes dialogue in the critical area of corporate governance through a network of local governance centers across 35 countries. The Global Center coordinates thought leadership on governance issues developed by Deloitte member firms to advance thinking on corporate governance issues around the world.  Additionally, as leader for Deloitte’s public policy work, Dan oversees teams in Washington, D.C. and Brussels that seek to engage government officials, policy-makers, investors, and non-government organizations on key policy questions affecting our capital markets, economy and society at large.  Prior to joining Deloitte, Dan served as Director of Corporate Governance at Standard & Poor’s in London and then New York. Over a period of eight years at S&P, Dan was responsible for the development and application of services to evaluate the corporate governance practices of rated companies as well as the integration of governance analytics into credit ratings. Dan serves as Chairman of the OECD’s Business Advisory (BIAC) Task Force on Corporate Governance in Paris, is a member of the International Corporate Governance Network’s (ICGN) Business Ethics Committee, and serves as a director on the board of the National Institutes for the Psychotherapies. Dan holds a B.A. in Russian and East European Studies from Yale University.

Walter M. Pressey, Vice Chairman and President (Ret), Boston Private Financial Holdings

Walt PresseyWalt Pressey is a respected business leader and independent director with extensive experience leading financial services institutions, negotiating mergers and acquisitions and conducting investor relations. He is an Independent Director of The Forsyth Institute, a medical research organization dedicated to discovering break-throughs in oral health and disease prevention.  Walt currently serves as a member of the Finance Committee of Boston Children's Hospital, and he serves on the Corporate Advisory Board of The Boston Club.
