Every organization is at risk of crisis. Crises come in many forms: bad press, lawsuits, cyber attacks, natural disasters, terrorism - to name just a few. When it hits, the ability to deal with it will depend on the efficacy of your board's response. Your board must be prepared to oversee crisis management; it is a fundamental fiduciary responsibility. Join us as we learn from our panelists about how to proactively prevent a crisis, how to protect your company’s reputation, how to explicitly manage the crisis, and how to define the roles of management and the board in preparing for, and responding to, crises. Our panelists are public company directors, and trusted advisors, who will speak from their personal experiences in dealing with crises, and who will share their war stories.
 
Crisis can be defined as a period of intense difficulty, trouble or danger that requires a difficult or important decision to be made with little to no advance warning!  The Federal Emergency Management Agency (FEMA) has developed the following four detailed steps for crisis management:

Preparedness – Communication Responsibility assignments, Threat assignment, resource assignment.
Response – Active emergency plan react to crisis damage.
Recovery – Restore critical functions provide for basic needs.
Mitigation – Reconstruct and Incorporate lessons learned into modified crisis plan.


When a crisis occurs the Board of Directors and other corporate stakeholders expect:

Integrated Mitigation


The Board’s role is to align “C” suite and the Board’s interest in crisis management and assist with strategy to minimize the influence of a crisis and prepare for it’s detection.

About our Panel:

Geri Denterlein

Geri DenterleinAs founder and CEO of Denterlein, Geri leads a strategic communications firm known for enhancing and protecting the reputations of some of New England’s best known brands. Drawing on 30 years of experience, Geri personally advises C-suite executives and boards of directors preparing for or responding to adverse events. From cyber security breaches to leadership changes, regulatory investigations and contentious litigation, Geri expertly guides clients through the key stages of crisis response. A former WBZ journalist and editorial director, Geri expertly shifts the public narrative to one that underscores the company’s commitment to its employees and customers, reestablishing the most valuable asset: trust.

As a trustee and board member of several organizations, Geri provides first-hand experience with corporate governance issues, particularly as they pertain to crisis events. Geri serves on the executive committee of the Massachusetts Women’s Forum, the American Red Cross Massachusetts, and as a member of the American Red Cross National Philanthropic Board. She is a trustee of the Massachusetts Taxpayers Foundation and was appointed to the Bridgewater State University board of trustees by Governor Baker and to the board of Boston Main Streets by Mayor Walsh.

A regular speaker and writer on crisis communications, Geri leads workshops and spokesperson trainings for companies and non-profits of all sizes, including as a faculty member of the Harvard School of Public Health’s Women on Boards program.

 
Payal Agrawal Divakaran

Payal Agrawal DivakaranPayal is a Principal at .406 Ventures, where she supports the team in investing, board involvement, and portfolio management. .406 Ventures is a Boston-based venture capital firm with ~$650M under management. The firm invests in enterprise-oriented startups in sectors including healthcare IT, cybersecurity, data/analytics, and cloud infrastructure. Payal is currently involved with Annum Health, Axial Healthcare, CloudHealth, Event Farm, Lexumo, Jisto, Nomad Health, Redox, and WelbeHealth.  Previously, Payal was at Harvard Business School, where she co-founded a company called SpotRocket to help students discover high potential startups to work for. Payal has also worked at Eventbrite, Spectrum Equity, and J.P. Morgan. Payal received her MBA, with Distinction, from Harvard Business School and her BS in Electrical Engineering and minor in Management from MIT.
 
Pete Simone

Pete SimoneMr. Peter J. Simone, also known as Pete, serves as an Advisor of Axia Capital and Axia Partners. Mr. Simone has been an Investment Consultant and a Consultant to numerous private companies since February 2001. He served as an Interim Chief Executive Officer of Lilliputian Systems, Inc. until May 2013. He served as a Consultant to Veeco on business development and certain other matters from March 2003 to June 2004. He has 30 years of industry experience, with over 20 years of operating responsibility in high technology public and private companies. He served as Executive Chairman of SpeedFam-IPEC, Inc., from June 2001 to December 2002, when it was acquired by Novellus Systems Inc.  He served as the President and Chief Executive Officer of Xionics Document Technologies Inc. from April 1997 to January 2000 and Chief Operating Officer from April 1997 to October 1997. He served as Group Vice President of the Time/ Data Systems Division of Simplex Time Recorder Company Inc., from 1992 to 1996. He serves as Vice President of the board of Walker Home and School for Children. He has been a Member of the Management Advisory Board of QD Vision, Inc. since August 2, 2006.
 
From 1974 to 1992, he held various management positions, including President and Director of GCA Corporation. From February 2000 to February 2001, he served as the President of Active Control eXperts, Inc. He served as a Consultant to ACX from January 2000 to August 2000. He began his career as an auditor with Arthur Young & Company (now Ernst & Young).
 
Pete is a Director of Newport Corp., Monotype Imaging Holdings Inc, andVeeco Instruments Inc. He also serves as a Director at the Massachusetts High Technology Council, Defect Yield Management Inc., TimeTrade Systems, Inc., Segue Manufacturing Services, LLC, BlueShift Technologies, Inc.and, innoPad, Inc. Pete previously served as a Director of Arradiance, Inc., Cymer Inc.,  Inphi Corporation, and Sanmina Corporation Other previous directorships include Oak Technology Inc.Zoran Corporation,  SpeedFam-IPEC Inc., Xionics Document Technologies Inc.and Active Control eXperts, Inc. He is a Certified Public Accountant. Mr. Simone holds a BS in Accounting from Bentley College in 1970 and an M.B.A. from Babson College in 1974.
 
About Our Moderator:

Jason Frank

Jason FrankFor the last two decades, Jason D. Frank has represented clients in shareholder class actions, derivative suits, SEC proceedings, internal investigations, and a broad array of complex business litigation. He has litigated in trial and appellate courts throughout the United States, appearing before courts in virtually every federal circuit.  Jason has been selected as one of the Best Lawyers in America, one of Boston’s Best Lawyers, and a “Super Lawyer” in the field of securities litigation. He is on the team that received the Securities Litigation “Law Firm of the Year” award for 2013 from U.S. News and World Report. Jason currently leads a team of attorneys in a corporate defamation case relating to one of Gartner, Inc.’s well-known “Magic Quadrant” reports.
