The NACD New England Chapter and the Massachusetts Business Roundtable are pleased to present a timely discussion on Building an Effective Board. 

Why do some boards stand out and are often recognized for their sustained effectiveness? At the October 17th session you will hear first hand from experienced board members about the process and challenges of making a board effective and outstanding.

Great boards don't just happen--they are crafted over many years. They are led by directors with vision and understanding of not only today's priorities and needs, but also where the organization will be down the road. This often requires skills and talents found in new board members. We will hear from our panelists about how to recognize these needs, when to make the decisions and how to best proceed and achieve a positive outcome.

Topics will include:

  • Communication with other board members, management and employees
  • The value of diversity and the risk of its absence
  • Relations with investors and other key parties 
  • Identifying critical skill and talent needs in the future.

While there is no magic bullet or secret sauce to make a board great, there are lessons that can be learned and applied. Join us for this highly informative and interactive session on the topic of perennial interest to all board members.

Our Panelists:

Nelda J. ConnorsNelda J. Connors is the Founder and CEO of Pine Grove Holdings, LLC, a privately held investment company focused on acquiring and building small-to- middle market businesses with a highly engineered content. These investments are primarily in power generation, infrastructure, construction equipment, advanced materials and aftermarket automotive end- markets. Portfolio companies include: Alturdyne Power Systems and X-Form Power and Equipment Supplies.

Nelda has more than 25 years technical and operating experience in diversified industrials as an OEM, supplier and distributor. Her recognized expertise has earned her a place on the Board of Directors of Boston Scientific (NYSE:BSX), Echo Global Logistics (NYSE:ECHO) and as a Class B director of the Federal Reserve Bank of Chicago. She formerly served as a director for Blount International (NYSE:BLT), Vesuvius plc (FTSE:VSVS), and Clarcor Corporation (NYSE:CLC). She is also a director for the privately held Prima Health company and advisor to Brightwood Capital, FocalPoint Partners, and Santa Fe Advisors. She has been the lead director for Piston Group, a privately held company, board with revenues over $2B, chairwoman of the Finance Committee, and a member of several public company Audit, Compensation, and Nomination and Governance Committees.

In 2015, she was appointed to the Independent Takata Quality Assurance Panel by the Department of Justice’s investigation of the airbag inflator recall. This work was instrumental in Takata Holdings being able to continue as an ongoing concern beyond the $1.5B bankruptcy announced in June 2017.

From 2008 through 2011, Ms. Connors was the President and CEO of Atkore International (public since 2016, NYSE: ATKR), which was formerly a division of Tyco International with $2.5B in revenue. She successfully led the $410M debt raise and sale to Clayton, Dublier and Rice. Prior to that, she was a senior executive at Eaton Corporation, Ford Motor Company, and Chrysler Corporation in various global business leadership and P&L roles. She has lived and worked in the USA, Europe and Asia-Pacific.

Nelda holds a B.S. and M.S. in Mechanical Engineering from the University of Dayton with post-graduate studies at the University of Tokyo in International Finance and Economics.

Awards and recognition are many and include Rotary International Japan Fellow, Harvard Business School Dynamic Women in Business panelist, Black Enterprise’s Top 75 Powerful Women in Business, National Action Council for Minority Engineers (NACME) keynote speaker, KPMG Corporate Board Audit Committee Roundtable, and Savoy Magazine’s Top 300 Corporate Directors.

Todd KrasnowTodd Krasnow has served on the Carbonite Board since September 2005 and as the lead independent director from the company’s IPO in 2011 until 2016.  Mr. Krasnow is a director of Tile Shop Holdings, Inc. (NASDAQ: TTS), a publicly-traded retailer of tile and stone, and is chairman of the Tile Shop Holdings’ compensation committee. Mr. Krasnow is also a director of C&S Wholesale Grocers, a $30 billion distribution company, Symbotics, a warehouse automation company, Ecentria, a privately held online marketer of optical, outdoor, and camping gear, Kids II, a manufacturer of infant and toddler products, and Bakkavor, a UK-based, privately owned, maker of fresh prepared meals.   Mr. Krasnow has served as the president of Cobbs Capital, Inc., a private investment company, since January 2005, and as an operating partner with Porchlight Equity, a venture capital firm, since June 2007.  He is also the chair of the Harvard-Smithsonian Astrophysical Observatory.

Prior to his venture capital and board work, Mr. Krasnow was part of the founding management team at Staples, and helped grow that company to $7 billion in revenue as executive vice president of sales and marketing. Mr. Krasnow holds an M.B.A. from the Harvard University Graduate School of Business and an A.B. in Chemistry from Cornell University.

Robert F. RiversRobert F. Rivers is Chairman and Chief Executive Officer of Eastern Bank, America’s oldest and largest mutual bank and the largest independent community bank headquartered in Massachusetts, with $10 billion in assets and over 120 offices, as well as Chairman of Eastern Insurance Group, a wholly-owned agency subsidiary, and the 36th largest insurance agency in the United States. Prior to becoming Chairman & CEO as of January 1, 2017, Bob was Vice Chairman of Eastern Bank Corporation and President and Chief Operating Officer of Eastern Bank, with direct responsibility for all lines of business and Marketing.

Before joining Eastern, Bob was Executive Vice President for Retail Banking at the former Commercial Federal Bank in Omaha, Nebraska, with responsibility for retail, small business, investments, insurance and residential mortgage businesses across a seven-state, 198-branch franchise, as well as related product management and sales support functions. From 1991 to 2005, Bob held a number of both staff and line leadership positions at M&T Bank, headquartered in Buffalo, New York, including State Sales Manager positions for the Business Banking Group in Pennsylvania and the New York City metropolitan area.   Previously, he was the Regional Sales Manager for M&T’s 170-branch franchise across Pennsylvania, Maryland, and West Virginia, following roles of increasing responsibility throughout New York State. Prior to that, he was an Assistant Treasurer in the Corporate Planning Group at the former Old Stone Bank in Providence, Rhode Island. Bob began his 35-year banking career as a teller at Randolph Savings Bank in his hometown of Stoughton, Massachusetts.

Bob is extensively involved in the community, serving on the boards of several non-profit organizations, while providing support to many others. Named after the late Senator Robert F. Kennedy, his passion for advocating for social justice causes and sustainability issues is the result of a personal and professional journey that began early in his life. Bob has been recognized by The Boston Globe, Boston Business Journal, The Partnership, Get Konnected!, Color Magazine, the Massachusetts Immigration & Refugee Advocacy (MIRA), Asian American Civic Association (AACA), Association for Latino Professionals in Finance & Accounting (ALPFA), El Planeta, the Massachusetts Transgender Political Coalition, The Theater Offensive and The Ad Club for his work in championing diversity and social justice.

Bob earned a Bachelor of Science Degree from Stonehill College and a Masters of Business Administration from the University of Rochester. He, his wife Patricia and two children, Madison and Julian, live in Needham, Massachusetts.

Our Moderator:

Marcy ReedMarcy L. Reed is Chief of Business Operations, Engineering and Process at National Grid where she oversees U.S. Gas and Electric Process & Engineering as well as the Customer Group.  Marcy joined National Grid in 1988 and has held various positions including most recently as President of the Massachusetts business as well as positions in finance, merger integration, and corporate affairs.  She also spent three years in London as the head of Investor Relations for National Grid.

Marcy sits on the boards of Blue Cross Blue Shield Massachusetts, Northeastern University, the Massachusetts Business Roundtable, the Greater Boston Chamber of Commerce, The Partnership, and the New England Council.  She is the global executive sponsor for National Grid’s Women in Networks employee resource group.

Marcy is a graduate of Dartmouth College and holds a master’s degree from Northeastern University. Married with two children, she lives in Concord, MA.
